Legal Counsel for Kazakhstan and Kyrgyzstan (Almaty/Kazakhstan)

компания "фрезениус медикал кейр казахстан" responsibilities: manages a wide range of transactional legal business support matters, including contract review, drafting and negotiation. expertise in drafting and negotiating various m&a and corporate law agreements and arrangements (e.g. share purchase agreements, asset purchase agreements, letters of intent, due diligence reports, shareholder resolutions, commercial agreements, etc.) as well as (ancillary) commercial agreements and arrangements overall management of the possible disputes with third parties (including preparation of the strategic position of the company, drafting of documents (claims, responses to claims, etc.), management of the external counsel if involved) ability to communicate commercial law as well as transactional and structural cornerstones and key drivers of a deal to regional legal team, and management advises the management, business and general operations directly in the following areas: commercial law incl. public procurement law corporate law m&a regulatory matter competition law 6. co-ordinates other legal issues, such as labour, litigations, etc. with outside legal counsel 7. engages, coordinates and manages external lawyers as required. 8. assures compliance with companies’s corporate guidelines, compliance and governance policies and implements supporting processes and controls together with local and region compliance department as well as regional legal team. 9. interfaces with regional legal department & regional compliance department to ensure alignment in different strategies. 10. develops role of liaison person for the data privacy topics required training and education advanced university degree (minimum master or equivalent) in kazakh law; meets local legal license requirements english level - not less then advanced required professional experience minimum 4 years of relevant post-qualification experience of legal practice advice, as an in-house counsel of an internationally/global acting enterprise and preferably with some years in internationally advising law firm. advanced level of experience in one or more general or speciality law practise areas acquired through being a leading resource in-house or in health industry or law firm environment.
