The Position This is a role for a securities/derivative trading support lawyer with a comprehensive legal expertise in both standardized transactions (LMA/ISDA/RISDA/GMRA/NFA REPO based transactions) and structured (tailor made) financing solutions. This role requires a “can do” attitude working in a collegiate and supportive environment. Principal Responsibilities The job holder will be part of a legal team with a fluid and varied workload. Accountabilities may vary at any point in time but will cut across the following disciplines and areas: Transactional work. Legal support of the new product setup process. Updating of the company`s standard forms (ISDA Schedules / GMRA Annexes / RISDA Master Agreements ets). Drafting and negotiating of the agreements with counterparties. Capacity and authority checks of the counterparty to the contract. Coordination of external legal counsels. Professional securities market participant activity support for a bank and non-banking financial company (broker/dealer/custody). Implementation of the NAUFOR`s industry standards. Drafting and supporting of whole “company-client” contract base (including Company`s terms of business). Legal support during SRO/CBR investigations and audit. Advising of internal control, compliance and back-office functions. Market-making activity. MOEX and other exchanges trading support. Cross – product activity. Contribution as a member of the project office team to support high complexity financial solutions. Key Competencies & Qualifications An experienced lawyer with a focus on Russian Securities Market Law governed transactions. Strong knowledge of Russian Civil Code (securities, contract, obligations). Understanding of English Law principles. Strong knowledge and understanding of the standard market documentation. Understanding of crypto-currencies and digital financial assets regulation in Russia. The ability to provide legal support both self-sufficient and as a team member. Excellent interpersonal skills to communicate the legal message. Stress resistance, result oriented. Certificate of financial market specialist is a plus.
