Responsibilities: Design organizational structure for new and existing DFI Group’s companies out-side of Russia, participate in set up of such companies and support their daily operation activities; Conduct due diligence for Russian and foreign companies, participate in drafting and registration of constituent documents for legal entities; Support Group’s companies in compliance/AML/KYC procedures in banks, agencies, consultants and counter parties to the deals; Build relationships with agents, secretarial companies, trustees, local and international consultants in the offshore jurisdiction and control over their activities; Structure mergers and acquisitions Group’s deals, suggest optimal structures, comment on structures proposed by the consultants and counter parties; Participate in the Groupchr(39)s M&A transactions in mergers and acquisitions: build relationships with local and international consultants (including their involvement in the work on transactions), draft and verify transactional documentations, conduct due diligence of assets, set up project companies in offshore jurisdictions, participate in writing of a representations and warranties package of the transaction, negotiate, sign and close transactions; Participate in financing transactions of the Group (the debt, structural, securitizations) Draft analytical conclusions on various legal issues, develop a legal position, prepare analysis of the legal risks and offer solutions. Requirements: Bachelor’s or Higher degree in Law. 2-5 years lawyer experience in Mergers and Acquisitions laws Strong knowledge in M&A laws; e.g. M&A advisory, Due diligence, Restructuring. Have knowledge and understanding about corporate governance principles and best practices. Good interpersonal skills and the ability to work well with others. The ability to prioritize work and to work well under pressure. Analytical and problem-solving skills, particularly ability to think spontaneously. Fluent in English- both verbal and written. Upper-intermediate German is a must.
