компания "brainpower group" our client, a large russian production holding, is looking for a head of legal department for the groupchr(39)s management company: requirements: higher professional education. at least 7 years of work experience in the legal area. experience in supporting m&a transactions, managing dd procedures. at least 3 years of recent work experience in a similar position. experience in a company with a holding structure. practical experience in the field of civil, land, administrative, corporate, arbitration, tax, labor legislation, etc. court practice. fluent english. knowledge of legislative acts regulating the financial and economic activities of companies in the russian federation. knowledge of labor protection rules and regulations. knowledge of systematization, accounting and maintenance of legal documentation using modern information technologies. ability to use computer technology and communication tools, confident user of ms office (excel‚ word‚ outlook) knowledge of the basics of economics, labor organization, production and management is welcomed. additional education in the field of international business law, taxes, property relations will be an advantage. readiness for frequent business trips or relocation (50-60% of working hours). responsibilities: organizational work organizing the work of the legal department of the management company, supervising the work of departments of the groupchr(39)s operating companies and managing legal risks. legal regulation of business processes (development and examination of projects, internal corporate documents - standards, regulations, regulations, instructions, etc.), development of proposals for their optimization; development and analysis of contractual schemes for the interaction of companies within the group, with partners and service providers. checking the legal documents of colleagues, teamwork. control over compliance with contractual discipline and elimination of identified shortcomings in the activities of the group company. participation in the legal expertise of investment projects, development of schemes for the implementation of investment projects. coordination of work with banks, government agencies and commercial organizations. contract work participation in negotiations with russian and foreign contractors. participation in due diligence when buying companies. analysis and legal examination of transactions, documents. preparation of requests to the federal antimonopoly service, control over the execution of orders. monitoring compliance with the covenants of loan agreements. creation of systems in which the employees of the group company do not make legal errors in the processes. judicial work claims and judicial work, including administration of representation in courts, development of a legal position representing the interests of the group companies in litigation in all instances prevention of situations that may create a risk of litigation. create a claim control system. create an uninterrupted process of studying court cases and decisions on the profile of companies, track the features of specific courts at various stages and procedural actions. corporate work development and examination of draft constituent and registration documents, local acts and organizational and administrative documents for the group companies. support of corporate processes of the group companies. interaction with registrars, depositories. training employees of the legal departments of the group’s operating companies on the specifics of corporate law, including in terms of company audits by authorities of various government levels,checks by lawyers of other legal entities during liquidation and absorption. general issues analysis of changes in russian and foreign legislation. preparation of relevant proposals for optimizing the work of the group. preparation of written and oral legal opinions on various aspects of russian and international law. search for optimal solutions in migration, currency, tax issues. advising company managers on legal issues. conditions: work in a stable and dynamically developing group of companies salary level is to be discussed with the successful candidate irregular working hours registration according to russian labour law medical insurance, fitness compensation relocation (north west) of 50-60% of business trips
