компания "fresenius medical care" tasks & responsibilities: management of a wide range of transactional legal business support matters, including contract review, drafting and negotiation. preparation of legal opinion on various legal issues arising in the areas of the company’s business activities, including medical activities and activities in connection with the compulsory medical insurance system. expertise in drafting and negotiating various m&a and corporate law agreements and arrangements (e.g. share purchase agreements, asset purchase agreements, letters of intent, due diligence reports, shareholder resolutions, commercial agreements, etc.) as well as (ancillary) commercial agreements and arrangements. ability to communicate healthcare, regulatory and commercial law as well as transactional and structural cornerstones and key drivers of a deal to emea and global legal teams, and local, sub-regional end regional management, respectively. disputes resolution: representation of the company’s interests in the courts; overall management of the possible disputes with third parties (including preparation of the strategic position of the company, drafting of documents (claims, responses to claims, etc.), management of the external counsel if involved); legal support in licensing. review of contracts related to activities in the system of compulsory medical insurance and additional agreements to them. co-ordination of other legal issues, such as regulatory, labor, litigations, etc. with outside legal counsel. assures compliance with fresenius medical care’s corporate guidelines, compliance and governance policies and implements supporting processes and controls together with global legal team. provides legal support for inspections carried out in relation to the company by medical insurance organizations, territorial compulsory medical insurance funds, state and municipal authorities. qualifications: advanced university degree (minimum master or equivalent) in russian law. general russian law, medical services legal aspects, medical insurance specifics. 3+ years of relevant post-qualification experience, including expertise in legal support of medical activities and activities in connection with compulsory medical insurance system, ideally both in-house with an internationally/globally operating enterprise and an internationally acting law firm or specialized boutique law firm for the regulated industry. advanced skills and experience in negotiating and advising on complex or high value/risk matters or in specific practice areas. good understanding of business-related facts. conditions: permanent contract. health: health insurance with dental, insurance policy going abroad, special insurance programs for families. sports: corporate program in a fitness club within walking distance from the office, its own football team. meals: lunch allowance. office - m. dobryninskaya/serpukhovskaya (bc wall street), walking distance from subway.
