Senior Legal Counsel

компания "криптериум" our ideal candidate is a specialized corporate attorney with experience in the fintech sector to serve as an in-house counsel and handle complex legal matters and projects. you will ensure the legality of commercial transactions and advise our company on legal rights and duties. responsibilities preparing and reviewing agreements/ contracts and other legal documents (powers of attorney, declarations, resolutions, etc.); elaboration of legal opinions on corporate/commercial/tax law matters, legal research; supervising and implementing corporate restructuring and various corporate procedures (issue or conversion of shares, changes to share capital, shareholders, and board of directors meetings, etc.); overseeing the company’s compliance with legal requirements; working with claims and complaints from clients and vendors; filing claims and carry on correspondence and negotiations with vendors and contractors in case of default (affiliate programs, advertising campaigns, partnership); auditing the companychr(39)s website to verify its compliance with regulations; liaison with external legal counsels and service-providers in foreign jurisdictions. requirements work experience with the russian law firm, big4, an investment fund in such practice areas as corporate/m&a, ip, and digital technology; higher professional education. postgraduate law degrees (master of law, llm, mlf) from british, american, or european universities; excellent knowledge of russian and european corporate and contract law, competition law, private international law; exceptional communication skills, outside-the-box thinker; strong organizational skills.
